1. Introduction & Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Selectzey (“Company,” “we,” “us,” or “our”), governing your access to and use of the Selectzey website at selectzey.com, the Selectzey web application at app.selectzey.com, and all related services, APIs, and features (collectively, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Beta Service Disclaimer

The Service is currently provided as a beta release. This means:

The Service may contain bugs, errors, or incomplete features.
Features, pricing, functionality, and the user interface may change at any time without prior notice.
Service availability is not guaranteed, and the platform may experience downtime, interruptions, or data loss.
We may reset, modify, or delete beta data at our discretion.
The Service is provided on an “as-is” and “as-available” basis during the beta period, without any warranties of any kind.

By participating in the beta, you understand these risks and agree not to hold Selectzey liable for any losses arising from errors, downtime, or changes during the beta period.

3. Eligibility

To use the Service, you must:

Be at least 18 years of age, or the age of legal majority in your jurisdiction.
Have the legal capacity to enter into a binding contract.
If registering on behalf of a business, you must have the authority to bind that business to these Terms.

By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

4. Account Registration & Security

4.1 Account Creation

To access the Service, you must create an account by providing a valid email address and creating a secure password. You may also register using third-party authentication providers where available.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password.
Not share your credentials with any third party.
Notify us immediately at [email protected] if you suspect unauthorized use of your account.

We are not liable for any loss arising from unauthorized access to your account due to your failure to safeguard your credentials.

4.3 Multi-Tenant Architecture

Selectzey operates on a multi-tenant platform. Each business (“Shop”) is logically isolated. Shop owners and administrators are responsible for managing user access, roles, and permissions within their shop. You must not attempt to access data belonging to other shops or tenants.

5. Description of the Service

Selectzey is a cloud-based salon management platform designed for salons, barbershops, spas, beauty studios, and similar businesses. The Service currently includes, but is not limited to:

Appointment Scheduling & Online Booking — Calendar management, customer self-booking, automated reminders.
Point of Sale (POS) — Invoicing, payment tracking, coupons, discounts, and refunds.
Staff Management — Schedules, commissions, performance tracking, role-based access.
Customer Relationship Management (CRM) — Client profiles, visit history, notes, preferences.
Notifications & Engagement — Automated email, SMS & in-app notifications, coupons, discounts, and loyalty points.
Memberships — Recurring membership plans and redemption.
Product & Inventory Management — Stock tracking, product catalog, order management.
Reporting & Analytics — Business insights, financial reports, and dashboards.

As a beta product, not all features may be fully operational, and feature availability may vary.

6. Free Trial & Subscription

6.1 Free Trial

New users may be eligible for a free trial period (currently 30 days). During the trial, you have full access to the Service. No credit card is required to start a trial.

6.2 Subscription Plans

After the trial period, continued use of the Service requires a paid subscription. Pricing, plan details, and payment terms are displayed on our Pricing page. We reserve the right to modify pricing at any time, with reasonable notice to existing subscribers.

6.3 Payment

Subscription fees are billed in advance on a monthly or annual basis as selected. Payments are processed through our third-party payment processors. You agree to provide accurate billing information and authorize recurring charges.

6.4 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access until the end of the current billing cycle. Refunds are not provided for partial billing periods, except where required by applicable law.

7. User Conduct & Acceptable Use

You agree not to use the Service to:

Violate any applicable law, regulation, or third-party right.
Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or infringing.
Attempt to gain unauthorized access to any part of the Service, other user accounts, or our systems.
Reverse-engineer, decompile, or disassemble any part of the Service.
Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent.
Interfere with or disrupt the Service, servers, or networks connected to the Service.
Send spam, unsolicited messages, or bulk communications through the Service.
Impersonate another person, business, or entity.
Use the Service in a manner that could damage, disable, or impair the Service.

We reserve the right to suspend or terminate your account for violation of these rules, at our sole discretion and without prior notice.

8. Your Data & Content

8.1 Ownership

You retain ownership of all data, content, and information you upload or input into the Service (“Your Content”). We do not claim ownership of Your Content.

8.2 License Grant

By using the Service, you grant Selectzey a limited, non-exclusive, worldwide license to process, store, display, and transmit Your Content solely to the extent necessary to provide and improve the Service.

8.3 Data Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all necessary rights and consents to upload and use the content you provide, including customer data you manage through the platform.

8.4 Data Processing

Where you use the Service to process personal data of your clients or staff, you act as the data controller and Selectzey acts as the data processor. You are responsible for ensuring you have a lawful basis (such as consent) to collect and process such data. Please refer to our Privacy Policy for details on how we handle personal data.

9. Intellectual Property

9.1 Our Property

The Service, including its software, design, logos, trademarks, documentation, and all other intellectual property, is owned by or licensed to Selectzey and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand identity without our prior written consent.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use, modify, and implement such feedback without any obligation or compensation to you.

10. Third-Party Services

The Service may integrate with or link to third-party services (payment processors, email providers, analytics tools, etc.). Your use of such third-party services is governed by their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party service.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or harmful components.
We do not warrant that the Service will meet your specific requirements or expectations.
During the beta period, the Service is particularly subject to change and may not reflect the final product.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Selectzey and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses.
Our total aggregate liability for any claims arising under or in connection with these Terms or the Service shall not exceed the amount you paid to Selectzey in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (USD $100), whichever is greater.
This limitation applies regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Selectzey, its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service.
Your violation of these Terms.
Your violation of any applicable law or third-party right.
Your Content or data you process through the Service.

14. Termination

14.1 Termination by You

You may stop using the Service and close your account at any time by contacting us at [email protected] or through your account settings.

14.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include but are not limited to:

Violation of these Terms or our acceptable use policies.
Non-payment of subscription fees.
Inactivity for an extended period.
Discontinuation of the Service or the beta program.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period (currently 30 days), unless we are required by law to retain it. We are not liable for any loss of data resulting from termination.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, business practices, or legal requirements. When we make changes, we will update the “Last Updated” date at the top of this page. For material changes, we will notify you through the Service interface or via email. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Selectzey operates, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to the competent courts of the jurisdiction in which Selectzey is registered.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Selectzey regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms.

17.5 Force Majeure

We shall not be liable for any delay or failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, governmental actions, power failures, internet disruptions, or third-party service outages.
